Contractor Role

2. Independent Contractor Relationship

The Contractor is engaged as an independent contractor and not as an employee, partner, joint venturer, or person authorized to legally bind Palacios Studio Photo & Film LLC.

The Contractor may accept or decline individual assignments and may perform professional services for other businesses and clients.

Unless otherwise agreed in writing, the Contractor provides their own professional equipment and remains responsible for their own federal, state, and local tax obligations.

Nothing in this agreement overrides applicable federal or state law regarding worker classification. Classification depends upon the actual working relationship and applicable law, not solely the title used in this agreement.

When required, the Contractor agrees to provide a completed Form W-9 and applicable independent-contractor documentation requested by Palacios Studio.

3. Assignment Terms

Palacios Studio may offer individual wedding, event, portrait, commercial, or other assignments to the Contractor.

Once an assignment is accepted in writing, the Contractor agrees to reserve the agreed date and perform the assignment according to this Agreement, the event assignment instructions, the client timeline, and the Palacios Studio Associate & Second Shooter Standards.

Accepting an assignment means accepting responsibility for that date. The Contractor should not accept a wedding or event they do not reasonably expect to be able to perform.
4. Professional & Client Standards
  • Arrive early and fully prepared for the scheduled start time.
  • Dress professionally.
  • Treat clients, guests, vendors and team members respectfully.

  • Do not publicly post client content before approval.

Client questions regarding pricing, packages, contracts, refunds, delivery dates or additional services should be referred to Palacios Studio.

  • Synchronize cameras.
  • Use appropriate redundancy for critical ceremony coverage.
  • Provide all original camera files and externally recorded audio.
Target media delivery: within 24 hours.
Standard maximum: 48 hours unless another arrangement is approved.
Original media cards or another independent backup must be retained until Palacios Studio confirms successful receipt of the files.
6. Copyright & Assignment Materials

Photographs, video, audio, drone footage and other creative materials specifically created while performing a Palacios Studio assignment are referred to as “Assignment Materials.”

To the fullest extent permitted by law, Assignment Materials qualifying as works made for hire are intended to be works made for hire for Palacios Studio Photo & Film LLC.

To the extent Assignment Materials do not legally qualify as works made for hire, the Contractor assigns to Palacios Studio all right, title and interest in those Assignment Materials, including applicable copyright rights, upon payment of the agreed compensation.

Contractor retains ownership of their own pre-existing equipment, general knowledge, techniques and workflows.

7. Confidentiality & Client Information

Contractor may receive private information including client names, email addresses, phone numbers, home addresses, wedding timelines, family information, venue access information, contracts, pricing, questionnaires and private photographs or video.

Contractor agrees to use confidential information only as reasonably necessary to complete Palacios Studio assignments and not to sell, distribute, disclose or misuse that information.

8. Emergencies & Cancellation

If illness, an accident, transportation failure, equipment failure or another genuine emergency threatens the Contractor's ability to perform an accepted assignment, Palacios Studio must be notified as soon as possible.

The Contractor may not independently send another photographer, videographer or assistant in their place without Palacios Studio approval.

Palacios Studio may report payments to federal or state tax authorities when required.

Contractor agrees to provide a properly completed Form W-9 when requested.

Contractor is responsible for maintaining legally required vehicle insurance when operating a vehicle and other insurance reasonably appropriate for their independent business.

12. Governing Law & Entire Agreement

This Agreement shall be governed by the laws of the State of Rhode Island, without limiting mandatory laws that may apply when services are performed in another jurisdiction.
